MINUTES FROM THE REGULAR PORT COMMISSION MEETING FOR THE PORT OF HOODSPORT

November 12, 2025 Call to Order:   9:13am                                                   Adjourned: 10:00am

Roll Call:  Commissioner Kincannon–Chairwoman / 2nd Trustee Commissioner Morris – 2nd Chairman / Trustee

Approval of Agenda:       Commissioner Kincannon motioned to approve the November 12, 2025, agenda, as written, Commissioner Morris seconded; all in favor.

Public speakers:                            None

Minutes: Commissioner Kincannon motioned to approve the Regular port commission meeting minutes from October 8, 2025, Commissioner Morris seconded, unanimously approved.

Vouchers: Commissioner Kincannon motioned to approve 2025 Vouchers: October 1of1 in the amount of $13,413.66 Commissioner Morris seconded, unanimously approved.

Public Communication:   None

Commissioner Reports:

Commissioner Kincannon said let’s swear in Jennifer Bly so she can start in her commissioner role.  Jennifer read the Oath of Office appointing her to serve the remainder of the term of Commissioner position #1 as 90 days are up today since the resignation of Commissioner Heil on August 12, 2025.  The director said Commissioner Bly’s appointment will be valid until her elected position is certified at which time she will take the Oath of office again for the ‘short term’ remainder of Position 1 ending on December 31, 2025.  Her elected position starts January 1, 2026 at which time she will take the Oath of Office once again for her 6-year long-term Commissioner position.  The director congratulated Jennifer and said you will need to create an email address to use for port business, I have several documents to send you in preparation for your role as commissioner. A notice and the signed oath will be submitted to the Office of Elections.  Commissioner Kincannon and Commissioner Morris said, welcome to the Port of Hoodsport.  Commissioner Kincannon said with the budget constraints we urgently need to get the ball rolling to tell DNR we want to move in the direction of a Port Management Agreement (PMA).  There is no possible way to continue with the lobbyist’s services after December, their contract says we can give a 30-day notice.  Commissioner Morris said I will contact the lobbyists today to let them know we can’t use their services due to budget restrictions.  I will ask if we can utilize the time we have left with them to help us set up a meeting as soon as possible with DNR before everyone takes off for the end of the year.  Eventually we have to replace the dock, maybe we can put them on hold for a couple of years until we get our footing then bring them back.  The director said I will write a formal letter to terminate the contract, thanking them for their services and support in securing capital funding over the last two years.  Commissioner Kincannon said maybe they will be open to creative ideas if we need their services on a contingency basis.  Commissioner Morris said we received PMA documents from Emily for the Port of Grays Harbor, it is functionally no different from the current lease but narrows the scope of what we can do with the property.  We still have a few other docs to check off for Mara.  Commissioner Morris said John Hansen has a crane ready and wants to put up the Christmas tree at the waterfront park today.  Everyone in town is getting everything coordinated, when its decorated, we can turn on the lights.

Port Maintenance Reports:

Hoodsport Trail Park & Disc Golf Park: S Lindgren said it’s possible we will be taking out the hazard trees since the lumber companies are accepting wood again. 

Hoodsport Marina, Dock & Waterfront Park: S Lindgren said the deck boards on the dock came loose from wear and tear and have been tightened down.   Commissioner Kincannon said were the processors tied up to the dock?  S Lindgren said not on the cleats, they tied up to the pilings.

Portable Restrooms: The Port of Hoodsport and Hood Canal Market Fresh share the cost of renting portable restrooms for public use.  The Ports maintenance department monitors them for trash and additional toilet paper as needed in between services.

Port Directors Report: 

The director said the State Audit on 2022; 2023 & 2024 were just completed.  In summary, they said, based on the procedures performed, nothing came to our attention in the areas we reviewed that caused us to believe the Port was not in substantial compliance with applicable state laws, regulations, and its own policies, or had not provided adequate controls over safeguarding of public resources. Commissioner Kincannon said thank you to the director for facilitating the audit. The director said we will finalize Commissioner Terms/Roles for the upcoming year in the December meeting, are there any changes to roles?  Commissioner Kincannon said just make sure Commissioner Morris is the 1st Trustee on both documents.  The director said let’s schedule some upcoming dates for regular port commission meetings in 2026, everyone agreed on January 21st and February 11th for now.

Budget:     Financial statements for October 2025 were reviewed

Adjourn:          Commissioner Kincannon made a motion to adjourn the Regular Port Commission meeting, Commissioner Morris seconded, it was unanimously approved, meeting adjourned at 10:00am

December 10th  2026 – January 21st, February 11th
